Terms of Service Effective Date: October 31, 2026 1. Acceptance of Terms By accessing or using U Navigate (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform. By clicking "I Agree," creating an account, or using the Platform in any way, you acknowledge that you have read, understood, and agree to these Terms. These Terms constitute a legally binding agreement between you and AIEYU ("we," "us," or "our"). We reserve the right to update these Terms at any time. We will notify you of material changes by updating the effective date and by prompting you to review the updated document the next time you use the Platform. You must accept the updated Terms to continue using the Platform. 2. Description of Service U Navigate is an AI-assisted navigation and planning platform designed to help individuals and human services professionals identify needs, locate resources, and build actionable support plans. The Platform includes: • A conversational AI assessment tool ("Lexi") that guides users through structured intake questions • AI-generated support plans with localized resource recommendations • A progress tracker for monitoring next steps and task completion • An AI chat interface for follow-up questions and guidance The Platform is intended for informational and navigational purposes only. It is not a substitute for professional legal, medical, mental health, financial, or social work advice. Nothing on the Platform constitutes a professional-client relationship of any kind. U Navigate is a life-navigation platform. It is not a crisis service, a clinical or therapeutic service, a medical or mental health provider, or an emergency service, and nothing in the Platform is a substitute for any of those. Lexi is an AI navigation guide: Lexi is not a companion, does not adopt personas, does not form relationships, and makes no therapeutic, diagnostic, or clinical claims. The Platform includes designed safety behaviors, described in our AI Disclosure, that surface crisis resources and help you reach people you choose; these behaviors are supportive features, not crisis intervention, monitoring, or a duty to detect or respond to any particular situation. The Platform never contacts anyone on your behalf. If you are in immediate danger, call 911, or call or text 988. 3. Eligibility and Account Registration Age Requirements You must be at least 13 years of age to create an account. Users between the ages of 13 and 17 must have verifiable parental or guardian consent before creating an account. By registering, you represent that you meet these age requirements. Account Security You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at shane@aieyu.ai if you become aware of any unauthorized use of your account. We reserve the right to terminate or suspend accounts that violate these Terms, are inactive for an extended period, or that we determine, in our sole discretion, pose a risk to the security or integrity of the Platform. 4. Acceptable Use You agree to use the Platform only for lawful purposes and in a manner consistent with these Terms. You agree not to: • Use the Platform to provide false or misleading information • Use the Platform to harass, threaten, or harm any individual • Attempt to access accounts or systems you are not authorized to access • Use automated scripts, bots, or scrapers to access the Platform without authorization • Reverse engineer, decompile, or attempt to extract the source code of the Platform • Use the Platform in any way that could disable, overburden, or impair its infrastructure • Use the Platform to collect or harvest personal information about other users • Upload malicious code, viruses, or any content intended to harm the Platform or its users • Use the Platform for any commercial purpose without our express written consent We reserve the right to investigate and take appropriate action, including suspension or termination of access, against any user who violates these Terms or applicable law. 5. Sensitive Information and Special Categories The Platform collects and processes information that may be considered sensitive under applicable law, including information related to health, mental health, housing status, substance use, domestic violence, foster care history, and financial circumstances. By providing sensitive information on the Platform, you consent to its processing as described in our Privacy Policy. You understand that providing this information is voluntary and that you may choose not to provide it, though doing so may limit the quality of the support plan and resource recommendations you receive. We implement technical and organizational measures to protect sensitive information. However, no security system is impenetrable, and we cannot guarantee absolute security. You provide information at your own risk. 6. AI-Generated Content and Limitations The Platform uses artificial intelligence to generate support plans, resource recommendations, and conversational responses. You acknowledge and agree that: • AI-generated content may contain errors, omissions, or inaccuracies • AI-generated content is not professional advice of any kind • Resource information including phone numbers, addresses, and availability may be outdated • The Platform does not guarantee that recommended resources will be available, appropriate, or effective for your specific situation • You should independently verify all information before taking action based on Platform recommendations • For medical emergencies, mental health crises, or safety emergencies, call 911 or the appropriate emergency service immediately We expressly disclaim any liability for decisions made in reliance on AI-generated content. The Platform is a navigational tool, not a decision-making authority. 7. Intellectual Property Our Property The Platform, including its software, design, text, graphics, and logos, is owned by AIEYU and protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our prior written consent. Your Content You retain ownership of any information you submit to the Platform ("User Content"). By submitting User Content, you grant us a limited, non-exclusive, royalty-free license to use, process, and store your User Content solely for the purpose of providing the Platform services to you. You represent that you have the right to submit any User Content you provide and that doing so does not violate the rights of any third party. Feedback If you provide feedback, suggestions, or ideas about the Platform, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation to you. 8. Third-Party Services and Resources The Platform may reference or link to third-party organizations, programs, and resources. We do not endorse, control, or guarantee the quality, accuracy, or availability of any third-party service. Your use of any third-party service is governed by that service's own terms and policies. We are not responsible for the actions or omissions of any third-party organization referenced in a support plan, including but not limited to community organizations, government agencies, healthcare providers, or housing assistance programs. 9. Disclaimer of Warranties THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING: • Warranties of merchantability, fitness for a particular purpose, and non-infringement • Warranties that the Platform will be uninterrupted, error-free, or secure • Warranties regarding the accuracy, completeness, or timeliness of any content • Warranties that defects will be corrected or that the Platform is free of viruses SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. 10. Limitation of Liability TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AIEYU AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, INCLUDING BUT NOT LIMITED TO: • Loss of data or information • Personal injury or harm resulting from reliance on Platform content • Failure to obtain a resource, program, or service referenced by the Platform • Unauthorized access to or alteration of your information IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY OR CERTAIN DAMAGES, SO THESE LIMITATIONS MAY NOT APPLY TO YOU. 11. Indemnification You agree to indemnify, defend, and hold harmless AIEYU and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Platform, your violation of these Terms, or your violation of any rights of a third party. 12. Termination We may suspend or terminate your access to the Platform at any time, with or without notice, for any reason including violation of these Terms. Upon termination, your right to use the Platform ceases immediately. You may terminate your account at any time by contacting us at shane@aieyu.ai. Upon termination, we will process the deletion of your personal data in accordance with our Privacy Policy and applicable law. Sections 7 (Intellectual Property), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Dispute Resolution) survive termination of these Terms. 13. Dispute Resolution Informal Resolution Before initiating any formal proceeding, you agree to contact us at shane@aieyu.ai and attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving your written notice. Governing Law These Terms are governed by the laws of the State of Florida without regard to conflict of law principles. Any legal action or proceeding must be brought exclusively in the federal or state courts located in Brevard County, Florida. Class Action Waiver YOU AND AIEYU AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. 14. General Provisions If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. These Terms, together with our Privacy Policy and AI Disclosure, constitute the entire agreement between you and AIEYU regarding the Platform and supersede all prior agreements. 15.
